GENERAL USE STATEMENT
Global Petroleum Forum provides internet-based recruitment services. All contracts for the provision of these services are subject to the following terms and conditions:
â€œTerms and Conditions: means the terms and conditions set out below;
â€œRecruiterâ€ means an individual, corporation or unincorporated (including government agencies) member who agrees to receive electronic recruitment job notifications from GPF in accordance with these terms and conditions;
â€œMemberâ€ means an individual, who has general access to GPF Website;
â€œGPFâ€ means Global Petroleum Forum; the Nevada Limited Liability Company
with its registered office at 7477 W Lake Mead Blvd STE 170, Las Vegas, NV
â€œServiceâ€ means the provision of recruitment advertising services by GPF to the Recruiter, as further defined below;
â€œChargesâ€ means the periodic fees charged for subscription as set out below, (Most GPF services are provided free of charge),
â€œWeb Siteâ€ means the web site www.globalpetroleumforum.com which provides information about the Energy industry and career paths and developments within the Energy industry; both of which are provided to the Recruiter and Member within the scope of the Services.
The Recruiter or Member hereby acknowledges that any and all copyright, trademarks and other intellectual property rights in or arising from any material hosted on the Web Site shall remain the exclusive property of GPF.
The Recruiter or Member shall not replicate, disclose, distribute or otherwise make use of any of the contents of the Web Site for any public or commercial purposes and shall not make the contents of the Web Site available in any other networked computer environment for any other purpose.
The Recruiter or Member shall not transmit or disseminate to tor from or store on the Web Site any content or material which is unlawful, threatening, libelous, defamatory, fraudulent, obscene or otherwise objectionable, or because it may infringe or violate any partyâ€™s intellectual property or privacy or otherwise contravenes any applicable law or regulation in any jurisdiction.
The Recruiter or Member shall not post on the Web Site any advertisements or chain letters, content or material that contains viruses.
The Recruiter or Member shall not access or attempt to access any data not intended for that Recruiter/Member or otherwise disrupt or seek to disrupt the services provided to other users.
The Recruiter or Member shall not remove or edit any content or material posted by any Member or other person on the web Site without obtaining the prior written consent of GPF.
The Recruiter or Member shall not use any search engine, program, software tool or other device to navigate or search the Web Site other than the integral search engine provided by GPF or other third party web browsers generally available on the market.
The Recruiter or Member shall not attempt to decipher, decompile, disassemble or reverse entineer any software comprising or relating to the Web Site.
PASSWORD AND OTHER SECURITY
The Recruiter or Mamber is responsible for the confidentiality and security of its password and shall immediately notify GPF if its password had been lost or compromised.
GPF will use its best efforts to provide the Recruiter or Member with the Services on the basis of these Terms and Conditions.
GPF shall provide the following electronic recruitment advertising services:
a) Access to comprehensive databases for Recruiters containing information on applicants for employment;
b) Registration for employment applicants by which applicants may review and edit their own CV on-line;
c) Timely general information regarding the Energy industry;
d) Links within GPF to upload Recruiter company or corporate logos;
Most services for job seekers and general Members are provided free of charge. Paid services require the completion of an apparent purchase process before any charges become due. All paid services shall be charged in accordance with Attachment 1 of the Payment Schedule with effect from the appointment of GPF to provide the Services. The charges as set out in Attachment 1 of the Payment Schedule shall be paid by the Recruiter to GPF.
The Member acknowledges that s/he is responsible for the form, content and accuracy of any material submitted to GPF for inclusion on the Web Site. GPF shall not endorse, support, or ensure the accuracy, truthfulness, or reliability of any content posted in the Web Site by any Member.
LIMITATION OF LIABILITY AND INDEMNITY
GPF makes no representations or warranties about the accuracy, reliability or completeness of any content or material contained on the Web Site and use of the Web Site by the Recruiter or Member is entirely on an â€œas isâ€ and own risk basis. In particular, GPF makes no warranty or representation concerning the eligibility or suitability of candidates for employment or Recruiters as potential employers.
GPF shall not in any circumstances be liable to the recruiter or Member for any indirect or consequential loss whatever and howsoever caused including but not limited to loss of job opportunities or losses arising from interviewing or employing unsuitable candidates or any other losses arising from lost or inaccurate data, business interruption or otherwise.
The recruiter and Member shall be liable for and shall fully and promptly indemnify and hold harmless GPF, its officers, employees and agents against all liabilities, damages, costs, losses, claims, demands and proceedings incurred or suffered whatsoever (including, for the avoidance of doubt, consequential loss and, as such, loss of profits) and howsoever arising, being directly or indirectly out of or in connection with any claims, demands, proceedings brought against GPF by any third party. This Condition shall not apply in relation to any liabilities arising as a result of any deliberate or negligent act or omission of GPF or any of its employees, officers, or agents.
GPF attempts to provide a safe and secure web site however no specific warranty is given that the Web Site will always operate free of software errors or viruses.
GPF is not responsible for the contents of any materials contained in any third party web sites which are linked to the Web Site and no representations or warranties are given regarding the content or accuracy of materials contained on such web sites, Recruiters and Members navigate to such sites at their own risk.
Without prejudice to any of its rights under these Terms and Condition, GPF may terminate the provision of the Services to the Recruiter immediately upon written notice to trhe Recuriter at any time if the Recruiter:
1. Fails to make any payment due under these Conditions and if such default continues for a period of seven (7) days after written notice of such default has been sent to the Recruiter.
2. Breaches any of these Terms and Conditions and such breach shall endure for a period of seven (7) days after written notice of such default has been sent to the Recruiter or Member.
Without limiting the foregoing, under no circumstances shall GPF be liable to the Recruiter or Member or be held liable for any delay or failure in performance resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control, including, without limitation, Internet failures, computer equipment failures, software failures, telecommunication equipment failures, other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, floods, storms, explosions, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals, non-performance of third parties, or loss of or fluctuations in heat, light, or air conditioning.
If for any reason a court of competent jurisdiction finds any provision or portion of these terms and conditions to be unenforceable, the remainder of these terms and conditions will continue in full force and effect.
E MAIL NOTIFICATION
Any notice required to be given under these Conditions shall be in writing and shall be served by sending it by electronic mail to the e-mail address of the other party. The Recruiter or Member shall be responsible for keeping GPF informed of its current e-mail address.
GOVERNING LAW AND JURISDICTION
These terms and conditions will be governed by and construed in accordance with the laws of the State of Nevada without giving effect to its conflict of law provisions or the Recruiterâ€™s or Memberâ€™s actual state or country of residence/corporate domicile. The parties agree to submit to the personal and exclusive jurisdiction of the courts of Nevada.
These Terms and Conditions constitute the entire agreement between the Parties with respect to the subject matter hereof and supersede and replace all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. Any waiver of any provision of the terms and conditions by a party will be effective only if in writing and signed by an authorized representative of GPF and the Recruiter or Member.
Most services to general Members and individuals seeking employment are provided free of charge. Paid services require an apparent purchase process to be completed before any charges become due. The charges for paid Services shall be:
In circumstances where the Recruiter is an individual, corporate or unincorporated (including government agencies) member seeking employment candidates, the Recruiter will pay the Charges in accordance with those indicated and agreed to at the time of ordering a service on-line unless other Charges have been agreed in writing.
The Charges shall become immediately payable at the time of ordering a service on-line
All payments to be made by the Recruiter to GPF under these Conditions shall be made by on-line credit card payments via Pay Pal or otherwise as instructed by GPF from time to time.
The performance by GPF of its obligations under these Terms and Conditions is conditional upon payments being made by the Recruiter in accordance with these Terms and Conditions. If the Recruiter fails to make any payment on the due date then, without prejudice to any other right or remedy available to GPF, GPF shall be entitled either to suspend its obligations under these Terms and Conditions and/or to charge the Recruiter interest (both before and after any judgment) on the amount unpaid at the rate established by the Secretary of the Treasury under section 12 of the Contract Disputes Act of 1978 (41 U.S.C. 611) that is in effect on the day after the due payment is made in full.
All payments to be made by the Recruiter to GPF under these Conditions are exclusive of any applicable Value Added Tax, Sales Tax or any other tax which is or may become applicable.
